Because Simplify360 merely serves as a repository of information, user-posted content does not represent the advice, views, opinions or beliefs of Simplify360, and Simplify360 makes no claim of accuracy of any user-posted material. Simplify360 allows for the posting of links to third-party websites. The linked websites’ content, business practices and privacy policies are not under Simplify360’s control, and Simplify360 is not responsible for the content of any linked website or any link contained in a linked website. The inclusion of a link on the Site or Services does not imply any endorsement by or any affiliation with Simplify360.

In accessing the Site and Services or following links to third-party websites you may be exposed to content that you consider offensive or inappropriate. You agree that your only recourse is to stop using the Site and Services. You shall comply with all applicable local, state, federal and national laws, statutes, ordinances and regulations regarding the use of the Site and Services. You represent and warrant that all registration information you submit is truthful and accurate and that you agree to maintain the accuracy of such information.

You must be at least 18 years of age and have Internet access, and a valid e-mail address to register for the Site and Services. Full use of the Site and Services may require you to provide a valid credit card. While individuals between the ages of 13 and 18 may utilize the Site and Services, they may do so only with the involvement of a parent or legal guardian who shall be jointly and severally responsible for your obligations under these Terms. Registration, Credit Card Information and Account Rules To register, you must provide your name, date of birth, shipping address, and e-mail address. Full use of the Site and Services may require credit card authorization information for a credit card acceptable to Simplify360. You shall permit Simplify360 to store and use this personal data provided by you for purposes of maintaining your account and for billing fees and other charges to your credit card.

You authorize Simplify360 to place a pending charge to your credit card when you provide your credit card information to Simplify360. Pending charges are used to verify your billing address and the validity of your credit card, are temporary (typically 7 to 9 days), and will not be converted into an actual charge to you. Pending charges will, while pending, however, reduce the available amount of credit on your credit card in the amount of $1.00. By registering, you also consent to the disclosure of your name and shipping address to Simplify360 users for shipping purposes.

In addition, you agree to comply with the following terms:

• You shall maintain your account with up-to-date information;
• You shall be responsible for maintaining the confidentiality and security of your account;
• You are entirely responsible for all purchases and other activities that occur through your account;
• You shall immediately report any unauthorized use of your account to Simplify360, as well as any other breach of security;
• You shall not share your password with any other person; and
• You shall not assign, sell or transfer your account to any other person.
• Free accounts are limited to one per user. The registration and use of multiple free accounts will void the term of this agreement and will be subject to termination.
• Simplify360 will not be accountable for any damage due to user’s actions. The user is to take the sole responsibility on the use of the tool.
• We may disable your user ID and password at our sole discretion.

Intellectual Property Simplify360 and Simplify360 logo are trademarks of Simplify360 and may not be used without written permission from Simplify360, other than for attribution. All other trademarks not owned by Simplify360 that appear on this Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Simplify360.

Simplify360-originated content included on the Site, such as text, graphics, logos, software and the compilation of all content on the Site, is the property of Simplify360 and its licensors and protected by copyright laws. Except as set out in these Terms, no reproduction of any Simplify360-originated content is permitted without written permission from Simplify360.

Fees and Charges Simplify360 has package based subscription pricing are Client will be charged for the package subscribed by them. Simplify360 holds the right to revise the price of the packages at its discretion which will be notified to the Client in advance.

Cancellation Simplify360 reserves the right to terminate or suspend your access to the Services or Site, with or without cause, at any time and effective immediately. Reasons Simplify360 may terminate or suspend your account shall include, but are not limited to, the violation of any of these Terms or failure to pay for Services. Upon cancellation or termination, you shall remain liable for all charges and fees incurred by you.

No warranty and limitation of liability Simplify360 provides the site and services “as is” and without any warranty or condition, express, implied or statutory. Simplify360 specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, information accuracy, integration or interoperability.

You understand and agree that you use the site and services at your own discretion and risk and that you will be solely responsible for any damages that arise from such use.

Under no circumstances shall Simplify360 be liable for any direct, indirect, special, incidental, consequential or punitive damages of any kind, or any other damages whatsoever (however arising, including by negligence), including without limitation, damages related to use, misuse, reliance on, inability to use and interruption, suspension, or termination of the site or services, damages incurred through any links provided on the site and the nonperformance thereof and damages resulting from loss of use, sales, data, goodwill or profits, whether or not Simplify360 has been advised of such possibility. Your only right with respect to any dissatisfaction with this site or services or with Simplify360 shall be to terminate use of this site and services.
